Every company registered under The Companies Act, 2013 is required to file the annual return and income tax return each year, delay or non-filing of return will lead you to pay heavy interest and penalties. These yearly filings are mandatory to be filed for every registered Company whether the Company is running a business or not. Company Annual Filings need to file the Audited Annual Financial accounts statement of the company along with Directors Report and Annual Return of Company with the Registrar of Companies. Before filing an annual return, the company must conduct an Annual General Meeting at the end of every financial year.

Annual General Meetings of the company should be conducted within 6 months from the end of that financial year. In the case of newly incorporated companies, the 1st Annual General Meeting should conduct within 18 months from the date of Incorporation or 9 months from the closing of the financial year whichever is earlier.

Forms For Annual Filing 

1. Form ADT-1: Form ADT- 1 is filed by the companies with the Registrar Of Companies to appoint an auditor after the conclusion of its Annual General Meeting. 

2. Form AOC – 4: Form AOC – 4 is used to file the financial statement of the Companies with the Registrar Of Companies, it contains financial Statements which include Balance Sheet, Profit and Loss Account, and others if needed. 

3. Form MGT – 7: Form MGT – 7 is used to file the Annual returns of the company, it contains registered office, principal business activities, particulars of its holding, subsidiary and associate companies, details of members and debenture-holders along with changes therein since the close of the previous financial year, Promoters, directors, key managerial personnel along with changes therein since the close of the previous financial year, shareholding pattern of the company; and such other matters as required in the form.
